1. Interpretation and definitions

  • Application: refers to AgentR, the software application developed and owned by Vibencode.
  • Company (referred to as “We”, “Us” or “Our”): Vibencode Pvt Ltd, Plot No. 5, Rose Enclave, Shastri Ward, Sagar, Madhya Pradesh 470002, India.
  • Service: includes the AgentR Application, its features, content, and related services.
  • Device: any hardware or software capable of accessing the Application (e.g. computers, mobile devices).
  • Third-party social media service: platforms or content (e.g. LinkedIn, Twitter) integrated with or accessible via AgentR.
  • Country: Madhya Pradesh, India.
  • You: the individual or entity using the Service.

2. Acknowledgment

By accessing or using AgentR, You agree to:

  • Comply with these Terms and our Privacy Policy.
  • Accept that your use is conditioned on adherence to these Terms and all applicable laws.

3. Intellectual property

  • AgentR is the sole property of Vibencode. All rights, trademarks, and intellectual property are reserved.
  • You are granted a limited, non-exclusive, revocable license to use the Application for lawful purposes only.

4. User responsibilities

You agree not to:

  • Reverse engineer, decompile, or modify the Application.
  • Use AgentR for illegal activities or to infringe on third-party rights.
  • Share credentials or grant unauthorized access to the Service.

5. Third-party services and links

  • AgentR may integrate with or link to third-party social media services.
  • We disclaim liability for third-party content, privacy practices, or damages arising from their use.
  • You acknowledge that your use of third-party services is governed by their terms and policies.

6. Termination

  • We reserve the right to terminate or suspend Your access immediately for breach of these Terms.
  • Upon termination, all licenses granted herein will cease.

7. Governing law

  • These Terms are governed by the laws of Madhya Pradesh, India, excluding conflict of law principles.
  • Your use of AgentR may also be subject to local, national, or international laws.

8. Disputes resolution

  • Step 1: contact us directly at legal@vibencode.com to resolve disputes through dialogue.
  • Step 2: if unresolved, disputes will be subject to the exclusive jurisdiction of courts in Madhya Pradesh, India.

9. Severability and waiver

  • If any provision of these Terms is deemed invalid, the remaining provisions remain enforceable.
  • Failure to enforce a right does not constitute a waiver of future enforcement.

10. Changes to terms

  • We may modify these Terms at any time. Material changes will be communicated via email or in-app notice 30 days in advance.
  • Continued use after revisions constitutes acceptance of the updated Terms.

11. Transaction policy

Refund and cancellation

  • Digital subscriptions: refunds are permitted only if requested before service activation or within a legally mandated cooling-off period.
  • Custom services: once a mandate is signed or work commences, cancellations and refunds are void.
  • Approved refunds will be processed to your bank account within 2 to 5 working days.

Delivery

  • AgentR is delivered electronically upon purchase. Delays will be communicated in advance.
  • Liability: we are not liable for damages due to delays, except as explicitly agreed in a signed contract or mandated by law.

12. Limitation of liability

  • The Application is provided “as is”. We disclaim all warranties, express or implied, including fitness for a particular purpose.
  • Our liability is limited to the maximum extent permitted by law.
